Advising Air Liquide (Homecare) Limited in negotiations with the Department of Health in relation to the new National Framework arrangements for the supply of home oxygen services, together with the subsequent call-off tender processes with the UK NHS regions.
Care Principles
Acting for many years in relation to this business providing secure hospital care for people with learning difficulties and other mental health problems. Highlights include the acquisition of Ermine Care’s “step down” facilities, the £270m sale of Care Principles by 3i (acting for 3i), and the acquisition of Care Principles by Four Seasons Health Care.
Four Seasons Health Care
Advising Four Seasons Health Care, one of the largest independent providers of care services in the UK since 2000. Highlights include a number of acquisitions including the £160m acquisition of Bettercare, the sales of Four Seasons in 2004 and 2006 (for £775m and £1.4bn respectively) and the recent high profile restructuring of its debt finance facilities.
Healthcare Brands International Limited
Advising Healthcare Brands International Limited on the sale by its subsidiary, HBI Sweden Holdings AB, of Antula Holding AB.
IBA Health Ltd
Advising IBA Health Limited, an Australian quoted company, on a number of transactions including its £170m takeover of iSOFT Group Plc (quoted on the London Stock Exchange) by way of a hostile scheme of arrangement in 2007. iSOFT is a leading provider of software to the healthcare sector. IBA Health subsequently renamed itself as iSOFT Group and was itself taken over by CSC in 2011.
InHealth
Acting for InHealth Group, one of the UK’s leading providers of diagnostic and imaging services, working predominantly within the NHS but also serving the needs of private healthcare providers. We have acted for InHealth Group since its inception, including on a number of significant acquisitions and disposals, as well as supporting the Group with a wide range of other legal services.
Lifeways Community Care
Advising Lifeways Community Care on the acquisition of Kentwood Ltd, which provides specialist care in the community to people with disabilities and learning difficulties.
Royal Bank of Scotland
Advising Royal Bank of Scotland on facilities for Cygnet Health Care and Castlebeck Care Homes.

Advising Virgin Active on the competition aspects of its acquisition of the Esporta chain of gyms and health clubs to become one of the largest operators of health and fitness clubs in the UK, and successfully obtaining unconditional clearance in Phase I despite the overlaps in some areas.

Advising Welsch Carson Anderson & Stowe on the $1.8bn recommended offer for the NASDAQ listed United Surgical Partners International (which had a significant UK medical services business).
