Camilla advises corporate groups, investors and trustees on all aspects of UK pensions law and practice, including: liability and risk in respect of defined benefit schemes, funding, investment and regulation of pension schemes, auto-enrolment duties and pensions tax issues. 

Camilla has particular experience of advising on pensions in the context of corporate restructurings and transactions, including management of s.75 debts and advising on the powers of the UK Pensions Regulator. 

She regularly advises employers managing change in pension provision, completing liability management and buy-out exercises (or transfers to insurance companies) and responding to funding and investment pressures, including challenges from the Pensions Regulator. She recently advised UK and overseas clients on the potential impact of proposals for the revision of the EU Directive on institutions for occupational retirement provision (IORPs).

Camilla also acts for corporate and trustee clients in proceedings in the High Court and in front of the Pensions Ombudsman and the Pensions Regulator.

Recent work includes advising:

  • Textron Inc., the US-based global engineering company, on restructuring the liabilities of the UK David Brown Pension Plan as part of its disposal of its trans-national Fluid & Power businesses, including a de-merger, a reallocation of the section 75 liabilities of £100m, clearance from the Pensions Regulator and agreement over associated funding and contingent assets;
  • the trustees of the Royal Doulton Pension Plan on transferring to the Pension Protection Fund, including issues relating to GMPs and protected rights;
  • an employer on terminating accrual in its defined benefit pension scheme and re-negotiating funding;
  • Airborne Systems Limited on an enhanced transfer value exercise and the buy-out of remaining liabilities;
  • the trustees of a hybrid pension scheme on negotiating scheme funding, including agreeing security during Chapter 11 proceedings relating to the employer's parent, advising on the termination of benefit accrual and a liability management exercise, and later responding to the employer's failure to make payments under the schedule of contributions and agreeing a further recovery plan; and
  • e.on UK Plc on the pensions aspects of a cross-border reorganisation including the establishment of a cross-border pension scheme.
