Richard joined the firm in 2006 and became a partner in
2008.
He advises financial institutions, funds, sponsors and major
corporates on a wide range of finance transactions, including all
aspects of leveraged finance, corporate lending, investment fund
finance and restructurings. Richard also advises investment funds
on distressed debt opportunities.
Clients include Haymarket Financial, Indigo Capital, Macquarie
Bank, Vision Capital, 3i, Syntaxis Capital, TA Associates and
Rabobank International.
Recent highlights include advising:
- J.P. Morgan Cazenove as financial adviser to Otter Ports Limited (owned by Arcus Infrastructure) on its recommended cash offer for Forth Ports plc;
- a leading mezzanine fund on the pre-packaged administration and subsequent acquisition of a global business;
- Haymarket Financial, Macquarie Bank and Lloyds Banking Group as mandated lead arrangers for the senior financing of HG Capital's buy-out of JLA Group;
- Indigo Capital as arranger of mezzanine financing for the refinancing and recapitalisation of the Inspicio Group (a 3i portfolio company) as part of the sale of its Inspectorate division to Bureau Veritas;
- TA Associates on the senior and mezzanine financing of its acquisition of Cath Kidston;
- Vision Capital Partners and Goldman Sachs on the senior refinancing of JDR Cables Group;
- senior and mezzanine arrangers and underwriters on competitive finance auctions, including in relation to Hobbycraft, JLA and Agros Nova;
- Alcoa, Inc. on its financing of the joint £7.2bn acquisition, with Aluminum Corporation of China, of a stake in Rio Tinto plc;
- Goldman Sachs on the financing aspects of its €950m acquisition of, and investment in, ABN AMRO's UK, Netherlands and Nordic private equity portfolio;
- a number of leading investment funds, including 3i plc, Vision Capital, TA Associates, Kohlberg & Company and Oaktree Capital, on a range of public and private buy-outs and subsequent financing transactions for portfolio companies, including advising Oaktree Capital on its €530m public to private of Richmond Foods plc and 3i plc on its acquisition of the Bestinvest Group;
- Indigo Capital LLP on a number of mezzanine financings, including its recent financing of Rutland Partners' acquisition of the CeDo Group (which was Buy-out of the Year 2010 at the M&A Awards, in part for its innovative debt financing structure);
- The Secured Lenders on the administration of First Quench Retailing Limited, a major national retailer operating under the Thresher and Wine Rack brands, with over 1,600 stores and 7,000 employees;
- The Trustees to the Royal Doulton Pension Plan on the restructuring and subsequent administration of Waterford Wedgwood plc;
- Syntaxis Capital LLP on a number of mezzanine financings for CEE buy-outs, including the acquisition of Tella Capital SIA (one of Latvia's first leveraged buy-outs) and Axtone S.A. (Europe's largest rail freight buffer manufacturer) by IK Investment Partners;
- The Royal Bank of Scotland on a US$ fund finance facility for a leading US private equity fund;
- NIBC Bank N.V. as mandated lead arranger of senior and mezzanine financing for Hg Capital's offer for Computer Software Group plc; and
- The Governor and Company of the Bank of Ireland on its financing of UTV Media plc's acquisition of FM104 through the acquisition of Babstova plc and Capital Radio Productions plc in Ireland.
Richard was a lead contributor to Tom Speechley's book on Acquisition Finance which was published by Tottel Publishing in 2008. Richard was also a UK Editor of Private Equity - Jurisdictional Comparisons published by The European Lawyer in 2010.
