We have advised on a number of debt funds. Our role includes advising on the structuring, establishment and marketing of debt funds and also on the regulatory issues arising. In addition, we provide advice to investors in debt funds and therefore have a deep understanding of both the 'GP' and the 'LP' perspectives.
Where we advise on the establishment of a debt fund, we are able to draw on our extensive experience of structuring investment funds. We will always consider ways of maximising the efficiency of that structure. In doing so, we take into account the best means of holding the fund's investments (which will often depend upon the type of debt in which the fund will invest); and the most efficient structure for channelling management incentives.
We also leverage the expertise of our corporate tax group, which contains preeminent specialists in the taxation of investment funds. Our corporate tax group is well versed in the issues which the holding of debt by a fund can give rise to.
Similarly, we work closely with Macfarlanes' leading banking and finance group. Where we advise on the establishment of a new debt fund, our banking and finance group is well placed to provide early-stage input on any issues that may impact upon a proposed structure from a lender or borrower's perspective, potentially saving time and expense further down the line. Our banking and finance group is also experienced in advising on the issues involved in establishing a fund that will employ leverage, including its ability to borrow.
