Private equity counsel

Macfarlanes’ private equity group is seeking to recruit a private equity counsel to join its highly successful team.

The group

Our private equity group is one of the leading private equity practices in the UK.  Our history in this area, and the breadth of the team, gives us extraordinary experience, know-how and insight in the sector.  The practice is ranked Tier one for mid-market private equity by the leading legal directories and Tier 3 for high-end private equity.  We have a strong track record of acting for sponsors and management teams.

Our group includes lawyers who work on the full range of private equity related activity: 

  • M&A: We have seen every form of private equity transaction and in a number of cases have created innovative structures, or solutions to issues, that have become market standard.
  • Acquisition finance: We cover the full breadth of acquisition finance options now available in the market.
  • Funds: As part of a wider funds practice, we have one of the leading private equity funds practice.
  • Secondaries: Our M&A lawyers and funds lawyers regularly work together on very significant secondaries transactions.
  • Tax: Our highly-rated tax lawyers commonly structure as well as execute our transactions, giving the client a fully joined-up service.

The teams that make up our private equity practice have worked together in a private equity context for many years. 

The private equity counsel would work predominantly with the private equity lawyers in the corporate department. The department comprises 17 partners, 41 solicitors, three professional support lawyers, 15 trainee solicitors and three paralegals.  10 of the M&A partners are regularly involved in private equity transactions and all other lawyers in the corporate department will be involved, to a lesser of greater extent, in the private equity practice.  Another 10 partners across the firm are included in the private equity group from our tax, funds, debt finance and regulatory departments.

The role

This newly created role will assist the private equity group in their efforts to broaden relationships within their existing clients and to establish connections with new potential clients.  The role is to act a bridge between the professional support lawyers in the firm, the firm’s marketing department, the private equity partners and the firms existing and potential clients with the objective of ensuring that the firm’s experience, know-how and thought leadership is brought to the attention of clients and potential clients on a timely basis and in a user-friendly format tailored to the needs of each client and potential client.

As this a new role, there is flexibility on precisely how the objective will be fulfilled.  However, it is expected that the duties will include:

  • researching and creating educational products for the team to present to existing clients;
  • producing regular written updates on current legal matters; and
  • preparing thought leadership papers.

These products, updates and papers will cover all areas of law relevant to private equity sponsors so breadth of legal knowledge, and legal curiosity, are important qualities. Quality (of thinking and manner of presentation) is of paramount importance

It is anticipated that this role is a part-time role with considerable flexibility on working hours and workplace following an initial introductory period.  An introductory period in the office will be required to allow the individual to become properly acquainted with the lawyers in the private equity group, the practice and its needs. 

The Candidate

We regard this as a part-time (three day week) role.  Because of the nature of the role, there is flexibility in relation to the amount of time that the role requires so suitable candidates who would prefer to work two or four days a week will also be considered.

The successful candidate will have experience across all aspects of private equity transactional work and funds (5 years+) gained from a renowned practice.  They will have the knowledge and experience to understand how changes in legislation in any relevant area of law will impact the UK private equity industry and the commerciality to explain the impact of those changes succinctly to clients.

They will need to be able to work well with the practicing lawyers and PSLs in the relevant practice areas and with the firm’s marketing department.
It is very important that the individual has the initiative and motivation to design, create and deliver the legal products, updates and papers mentioned above to the requisite standard without close supervision by partners.
