Adam acts for credit funds, speciality finance providers, asset managers, banks and sponsors on a wide range of domestic and cross-border financing transactions

Adam has a multi-disciplinary practice founded on experience and expertise in leveraged finance and corporate lending, fund finance and asset-backed finance. This includes:

·         advising alternative lenders on acquisition and corporate facilities; unitranche and super senior financing structures; capital solutions lending and holdco PIK facilities;

·         acting for both lenders and fund borrowers on a full range of fund finance transactions, including fund NAV facilities, credit fund leverage, investor call bridge lines and GP and management company facilities; and

·         a broad range of speciality and structured finance transactions, including receivables financing in both securitised and unsecuritised structures and legal funding arrangements.

Clients value Adam's technical knowledge which he applies in a commercial and adaptable manner, reflecting the breadth and depth of his expertise, allowing him to adopt creative solutions to challenging scenarios and stand alongside clients in implementing novel structures on tight timescales. 

Adam has previously spent time on secondment to major bank and credit fund clients of Macfarlanes, giving him insight into how his clients operate and what is really important to them.

  • Advising Ares Management on various leveraged financings, with a particular focus on the financial services sector.
  • Advising Hampshire Trust Bank Plc on the provision of a senior revolving credit facility to Blazehill Capital.
  • Advising PMG on its acquisition of RocketMill, a leading independent, full service digital marketing agency.
  • Advising Quilam Capital on a strategic partnership with Wafra Capital Partners.
  • Advising various banks and credit funds in relation to borrowing base facilities (including to Propel, Momenta Finance, 118 118 Money and Victoria Mutual).
  • Advising Goldman Sachs Private Capital in relation to a £90m private securitisation, backed by bridging loans originated by Together Financial Services, trading as Together.
  • Advising banks and non-bank lenders on a variety of fund NAV facilities across a broad spectrum of asset classes including private equity, real estate finance, venture debt and credit.
  • Advising Hayfin Capital on unitranche and super senior facilities on several financings in the healthcare sector.
  • Advising the National Westminster Bank plc on various buy-outs, refinancings, fund finance transactions and speciality finance facilities.
