Private Capital has been at the heart of Macfarlanes for decades and represents a significant part of our practice.
We support private capital managers across all aspects of their businesses, from house matters and fund formation, through deployment and portfolio support, to exits and strategic transactions. We are active across a broad range of asset classes, with a particular focus on private equity, private credit, secondaries and real assets.
We complement our legal advice to private capital managers with a range of integrated non-legal capabilities brought together under our Private Capital Solutions umbrella. Our Investor Intelligence team support private capital managers with product development and investor engagement; our Sector Intelligence team support managers with deployment related insights and our in-house accounting, valuation and financial modelling expertise informs structuring, transactions and strategic decisions across their house, fund and deal activity.
We also develop and tailor Lawtech solutions to deliver efficiencies, synthesise information and manage risks for private capital managers.
Work highlights include advising:
- Hayfin on the acquisition of a majority stake in the business by Arctos Partners, and the syndication of portions of that stake to Mubadala, AXA IM Prime and Samsung Life Insurance;
- 17Capital LLP on the closing of 17Capital Strategic Lending Fund 6, which has successfully held a final closing at $5.5bn;
- Arcmont on the strategic partnership between Nuveen Private Capital, Hunter Point Capital and Temasek;
- Alchemy on its latest fund, Alchemy Special Opportunities Fund V (ASOF V), which has closed in excess of its initial fundraising target with €1bn in capital commitments;
- Preqin Holding Limited, a leading independent provider of private markets data, on the sale of its entire issued share capital to an affiliate of BlackRock, Inc for £2.55bn;
- Supermarket Income REIT Plc, on its strategic joint venture with funds managed by Blue Owl Capital, a leading US alternative asset manager, seeded with eight supermarkets from its existing portfolio, with an aggregate value in excess of £400m;
- Arcmont Asset Management on debt aspects of its $2.5bn continuation vehicle;
- Ares in takeover of Eagle Football Group by Michele Kang;
- Five Arrows and other senior lenders on the acquisition of Exemplar Health Care by Agilitas Private Equity; and
- Ares Management on financing to Lovell Minnick Partners for the merger of wealth management company Waverton Investment Management with London & Capital.
