Adam works for a wide range of clients from private equity houses, asset managers and large corporate groups to family offices, professional services organisations and LLPs.
He advises on a broad range of domestic and international M&A transactions, having considerable experience in the financial services sector in particular.
He spends quite a lot of his time advising on private equity investments and other complex equity investment structures, regularly advising investors, founders and executive management teams across a range of sectors in respect of those arrangements, working closely with our Tax and Reward teams.
Experience
- Advising the senior management team of cosmetics group Wella on its equity incentive arrangements following KKR’s acquisition of a 60% share in the group from Coty Inc. for $2.5bn.
- Advising the senior management team on the sale of Cognita Schools by Bregal Investments and KKR to Jacobs Holdings for £2bn.
- Advising the senior management team of UK luxury paint maker Farrow & Ball on its sale to Danish coatings supplier Hempel Group from private equity firm Ares Management.
- Advising numerous other executive management teams of private equity backed businesses (in the context of sale processes and/or new equity incentive arrangements) including ghd, The Instant Group, First Names Group, Augentius, Northgate Public Services, Catalina Holdings and All Funds Bank.
- Advising Epiris on various acquisitions including of Time Inc. UK, one of the UK’s largest consumer magazines and digital publishers, from Meredith Corporation and the IFG Group, the financial services firm comprising the James Hay Partnership and Sanderson House.
- Advising Epiris on the sale of wealth management company Saunderson House to Rathbone Brothers Plc for a total consideration of £150m.
- Advising James Hay Holdings, a portfolio company of Epiris, on its recommended offer for Nucleus Financial Group plc.
- Advising Charme Capital Partners on its acquisition of the specialist education and care provider, Witherslack Group.
- Advising OpCapita on various acquisitions, including its acquisition of The Football Pools business.
- Advising The Instant Group on a buy-out backed by UK based private equity firm Bowmark.
- Advising Virgin on the establishment of a new Virgin wide loyalty platform.
- Advising Stifel Financial Corp, the US brokerage and investment banking firm, on various acquisitions, including its acquisitions of Oriel Securities and MainFirst Bank AG.
- Advising Better Capital on the sale of Gardner Aerospace to Shaanxi Ligeance Mineral Resources and the subsequent sale of Northern Aerospace to Gardner Aerospace.
- Advising Stanhope Capital Group on its merger with FWM Holdings, the owner of the Forbes Family Trust, LGL Partners and Optima Fund Management – creating a world-leading independent wealth management and advisory firm, expected to oversee $24.2bn in client assets.
- Advising BMS Group, the UK headquartered broking arm of Minova Insurance on a significant investment by affiliates of British Columbia Investment Management Corporation (BCI) and Preservation Capital Partners (PCP).
- Advising Pioneer Underwriters on the transfer of its ongoing portfolio together with underwriting and support staff to California-based speciality insurance services holding company K2 Insurance Services.
- Advising on the establishment of XTX Markets, the FX and multi-asset market maker.
