About

Emily advises clients on the regulation of onshore and offshore investment funds. She has a particular focus on UK authorised funds, providing strategic support on the operation of ESG / sustainable funds for a range of asset managers and strategies, and assisting overseas funds with recognition in the UK.

She advises a number of large asset managers and “host” authorised corporate directors on various matters relating to the structure and operation of regulated funds including: the establishment of umbrella, standalone or sub-fund OEICs and authorised unit trusts (UCITS, NURS and LTAFs); mergers/schemes of arrangement; fund range rationalisations and repositioning; and various ad hoc changes and updates to fund ranges. Emily also advises overseas funds on recognition in the UK under the Overseas Fund Regime and the s.272 regime. 

Emily assists private and authorised fund managers to establish ESG / sustainable and impact funds and prepare associated regulatory disclosures. She advises on various UK and EU ESG regulation including SFDR, SDR, EU Taxonomy, UK Stewardship Code, UNPRI and TCFD. 

Emily is a key member of the firm’s ESG working group and is listed as an "ESG expert" in Legal 500. 

Experience

  • Providing ESG advice to Growth Capital Partners on the close of their “one and done” fund, GCP Fund VI, at £411m.
  • Advising Fidelity International on its diversified private assets Long-Term Asset Fund (LTAF), the Fidelity Diversified Private Assets LTAF
  • Advising a leading private credit manager on positioning its direct lending fund as an Article 8 product, including advising on the disclosure and reporting requirements under SFDR.
  • Advising various private funds and asset managers on the legal aspects of mandatory TCFD reporting and CSRD scoping.
  • Advising a leading climate transition fund on obtaining its label under the UK SDR.
  • Advising various asset managers on receiving recognition for overseas funds under the UK's OFR regime.
