About

Gemma has a broad regulatory practice, advising private equity sponsors, wealth and asset managers, family offices and other financial services firms on various regulatory matters.

Gemma specialises in UK financial services regulation, with particular expertise in transactional and private funds matters. She advises on the UK rules governing changes in control, the regulation of private funds and their managers, and the interaction of UK and cross-border regulatory regimes.

Her experience includes advising on the FCA and PRA change in control regimes, the scope and application of the AIFMD as implemented and retained in the UK, regulatory perimeter questions, and the operation of domestic regimes such as SM&CR, IFPR, and the client money and asset rules.

Gemma also has extensive experience assisting firms with FCA authorisations and variations of permission, including preparing regulatory applications and engaging with the FCA.

Recent examples of her work include advising on the regulatory aspects of high-value cross-border corporate transactions, preparing FCA and PRA approval applications, advising on complex SMCR and IFPR issues within authorised firms, and supporting private equity sponsors on the management and restructuring of AIFs, including manager transitions.

  • Advising Signal Capital Partners on its strategic partnership with Armen, the European GP-stakes investor.
  • Advising Trinity Street Asset Management LLP on the sale of a stake in the LLP to iM Global Partner.
