Mark principally advises on transactions with a listed dimension across equity capital markets and public and private M&A, with a particular focus on listed funds.

Mark is an experienced capital markets and M&A lawyer. He has acted on over 25 IPOs, alongside numerous secondary issues and public and private M&A transactions. His clients include companies that are coming to market, listed companies, acquirers of listed companies, and fund managers to listed funds. Beyond transactional work, Mark regularly advises listed companies on compliance with law and regulation, including the Listing Rules, UK MAR and the Takeover Code.

Mark is known for his technical acumen, his creativity in solving complex issues, and his energy and drive. He pairs these strengths with pragmatism, a collaborative style and meticulous organisation. Clients particularly value his responsiveness and his calm, measured approach.

In addition to his client work, Mark regularly publishes articles and book chapters on M&A and capital markets matters. He is also involved in the recruitment of trainee solicitors.

  • Advising South African incorporated global leader in Platinum Group Metals Valterra Platinum on its £7.5bn London listing and demerger from Anglo American.
  • Advising FTSE250 grocery property investor Supermarket Income REIT on its IPO and subsequent transactions, including nine equity fundraises, a significant number of acquisitions and an internalisation.
  • Advising office specialist Regional REIT on an underwritten open offer to raise £110.5m.
  • Advising NortonLifeLock Inc., a NASDAQ-listed consumer cybersecurity solutions provider, on its $25bn cash and stock merger with Avast.
  • Advising global fashion brand, Superdry, on capital and restructuring measures comprising a restructuring of Superdry’s property estate, an extension to debt facilities, an equity raise and a delisting.
  • Advising Hyve Group, a next generation global events business, on a recommended takeover bid for it by funds advised by Providence Equity.
  • Advising a consortium on its cash and listed and unlisted stock offer for Dignity, a major provider of funeral services in the UK.
  • Advising Joshua Alliance on the take-private of N Brown, one of the top clothing and footwear digital retailers in the UK.
