Senior Knowledge Lawyer (Australian Qualified)
Martha is a Senior Lawyer in the Commercial team, specialising in commercial IP advisory work as well as running the knowledge practice for the team.
She advises private clients, businesses, and financial institutions on complex intellectual property matters, with a particular focus on IP structuring and holding arrangements, IP licensing, and IP issues arising in commercial agreements including brand and technology deals.
Martha regularly advises on IP structuring for group reorganisations and fund establishments, the creation and management of IP holding arrangements, and the negotiation of complex transfer and licensing agreements. She also advises on IP issues arising in the context of brand collaborations, joint ventures and other high-value commercial agreements.
She also has broad experience advising on commercial contract and IP matters in the context of high-value corporate transactions, including strategic acquisitions, complex carve-outs, joint ventures, and fund restructuring. Martha brings significant experience in IT matters, including cloud computing and IT outsourcing across a range of sectors.
Martha gained valuable client-side experience during secondments to a world-leading media company and an international technology consulting firm. Much of her work has involved a cross-border element, having previously practised at a US-led global law firm.
Experience
- Advising a hedge fund on IP restructuring matters arising in connection with the winding down of an existing fund and the establishment of a new fund, including advice on IP structuring and restructuring to ensure that IP assets are held in the correct entity within the new fund structure.
- Advised Cedar Capital Partners on commercial matters in the context of its recapitalisation, with Ares Management Secondaries Funds, of five leading lifestyle hotels in European gateway cities.
- Advised a family office that focuses on pan-European investments around property, logistics, green energy, and food supply on commercial and IP structuring matters, including in respect of re-financing.
- Advised a Japanese alternative energy technology group on the establishment of a strategic joint venture to set up lithium-ion battery factories in the UK and India, including leading the negotiation of the IP licensing and knowledge transfer agreement.
- Advised several multinationals on information technology and cloud computing outsourcing, including a US credit ratings agency, minerals commodities trader, airline logistics company, and a British international medical equipment supplier.
