About

Matthew is a senior knowledge lawyer in the private funds team. He provides technical legal support to colleagues, as well as managing and developing the team’s training programme and precedent documentation.

He has extensive experience as a private funds lawyer. Before becoming a knowledge lawyer, he spent seven years advising private fund sponsors on their fundraising activities and institutional investors on their alternative investment programmes, with a particular focus on private equity and credit strategies.

Matthew has advised clients on the full spectrum of fund-related issues, including structuring and establishment, marketing, investor negotiations, executive co-investment plans, carried interest and other incentive schemes, and fund liquidations (including following a “general partner removal”). He has also advised on the establishment and restructuring of a number of managed accounts, as well as on the establishment of several single-asset co-investment vehicles.

Matthew has spent time on secondment at a leading European institutional investor, the alternative investment division of a private bank and a European private credit sponsor. Matthew was also seconded in 2012-2013 to the private funds group of a leading US law firm in New York.

  • Advising Hayfin Capital on its first special opportunities fund and its arrangements with HM Treasury under the UK government’s Business Finance Partnership.
  • Advising Sovereign Capital on the fundraising of its fourth fund, Sovereign Capital IV.
  • Advising the European Investment Fund on a number of primary investments in private equity funds across Europe.
  • Advising a Canadian asset manager on its acquisition of a fund management platform in India.
  • Advising Ancala Partners on the establishment of an investment vehicle to acquire a leading independent developer, owner and operator of UK hydro power plants.
