Max has a broad corporate practice, with a particular focus on public takeovers.
Between 2020 and 2022, he was seconded to the UK Takeover Panel, where he regulated over 300 transactions, including some of the most significant takeovers in that period (such as the offers for Wm Morrison, Meggitt, William Hill and Signature Aviation). Thanks to this invaluable experience, Max has a deep understanding not just of the legal framework governing UK public takeovers, but also of how the regulator operates.
In addition to his focus on public takeovers, Max regularly advises clients on a wide range of other transactions, including equity capital markets, corporate governance matters, private M&A and group reorganisations. He has experience acting on large and complex work, as well as on mid-market mandates, and he operates across a range of sectors.
Max has previously undertaken secondments at a US investment bank in London and at a leading French law firm in Paris. He is an experienced mentor and is matched with a mentee each year via the firm’s internal mentoring programme.

- Advising Revolution Beauty Group plc on its formal sale process and subsequent emergency equity fundraise.
- Advising a consortium comprising Pandox AB and Eiendomsspar AS on the €1.4bn takeover of Dalata Hotel Group plc.
- Advising FirstCash Holdings, Inc. on the £296m takeover of H&T Group plc.
- Advising Anglo American Platinum Limited (now Valterra Platinum Limited) on its secondary listing on the London Stock Exchange with a market capitalisation of £7.2bn.
- Advising Joshua Alliance and his bid vehicle Falcon 24 Topco Limited on the £408m take-private of N Brown Group plc.
- Advising a consortium comprising Sir Peter Wood, Phoenix Asset Management Partners and Castelnau Group Limited on the £281m take-private of Dignity plc.
- Advising the largest private shareholder in AVEVA Group plc on the £9.4bn offer by Schneider Electric SE.
- Advising Michael Spencer and his holding company, the largest shareholders in Chapel Down Group plc, on Chapel Down’s move from the AQSE Growth Market to AIM.
- Advising Robey Warshaw LLP on the cash confirmation aspects of UnitedHealth Group Inc.’s £1.2bn takeover of EMIS Group plc.
- Advising Tarsus Group plc on a £560m recommended takeover by Charterhouse Capital Partners LLP, as well as on numerous cash-box placings and other transactions.
- Advising Kennedy-Wilson Holdings, Inc. on its £1.5bn bid for Kennedy Wilson Europe Real Estate plc.
- Advising Revolution Bars Group plc on the recommended takeover by Stonegate Pub Company Limited for approximately £101.5m and the competing proposal by The Deltic Group.
- Advising GAME Digital plc on the mandatory takeover bid for it made by Sports Direct International plc.
- Advising GAME Digital plc on its flotation on the Main Market of the London Stock Exchange, as well as on numerous subsequent matters.
- Advising Regal Entertainment Group on the $3.6bn bid by Cineworld Group plc.
- Advising the management team of Elian (formerly Ogier Fiduciary Services) on the sale of the company by Electra Partners to Intertrust Group B.V. for £435m.
- Advising the Wimbledon Park Golf Club Limited on the sale of the company to The All England Lawn Tennis Ground plc by way of a scheme of arrangement.
- Advising Verizon Communications Inc. on its acquisition of Vodafone Group plc’s interest in Verizon Wireless for $130bn.
