Sandeesh advises asset managers on the structuring, operation and regulation of investment funds, with a particular focus on UK authorised funds and offshore funds that are marketed to UK investors.
She is experienced in assisting a range of asset managers, including institutional asset managers and “host” authorised corporate directors, with various matters relating to the structuring, operation and regulation of UK authorised funds (UCITS and NURS).
Sandeesh also advises clients on fund structures that aim to provide non-professional investors with access to private assets (“retailisation”), such as LTAFs. She gained in-depth experience during her secondment at Legal & General Asset Management (L&G) between 2023 and 2024, where she supported the launch of L&G’s diversified private markets LTAF and its broader strategy for defined contribution pension schemes, the L&G Private Markets Access Fund.
She often provides advice to clients on complex transactions involving UK fund structures, as well as advising clients on offshore fund vehicles that are marketed to UK investors, including funds marketed under the OFR. In addition, Sandeesh is experienced in advising clients on other regulatory matters, particularly the FCA’s permitted link rules.
Experience
- Advising L&G Asset Management on a strategic partnership with Blackstone, including advice on the fund structures necessary for clients to access Blackstone’s private credit origination platform.
- Advising L&G on the merger between the Federated Hermes Property Unit Trust and L&G’s Managed Property Fund, creating a combined fund value of £4.7bn.
- Advising Carne Group on the regulatory approval from the FCA for the launch of a private equity-focused Long Term Asset Fund (LTAF) in collaboration with WTW.
- Advising L&G Asset Management on the launch of its diversified private markets Long-Term Asset Fund (LTAF), the Legal & General Private Markets LTAF.
