Senior Counsel

Tiffany advises a range of asset managers on the operation and regulation of investment funds, with particular experience in semi-liquid products and ESG/sustainable funds.

She works with several large asset managers and "host" authorised corporate directors on various matters relating to the structure, operation and regulation of both UK authorised funds (LTAFs, UCITS and NURS) EU regulated funds (ELTIFs) and local European products (UCI Part IIs). She also advises family offices on the operation of offshore investment structures.

Tiffany has particular experience advising on the regulatory and commercial aspects of open-ended private credit funds (including advising on the loan origination regime and liquidity management requirements under AIFMD II). Clients also value Tiffany's deep technical expertise on the regulatory aspects of ESG/sustainable and impact funds (including UK SDR and the EU SFDR and Taxonomy). Tiffany is a founding member of the firm’s ESG working group and holds a certificate in Sustainable Finance from the University of Cambridge Institute for Sustainability Leadership.

Tiffany is actively involved in industry working groups, including the ELTIF Working Groups of the Alternative Credit Council and Invest Europe and the ESG Scoping Forum of the Financial Markets Law Committee (FMLC), and was actively involved in the Investment Association (IA) initiative on the regulatory framework for the LTAF.

She is ranked as an “associate to watch” by Chambers and Partners and a “leading associate” by The UK Legal 500. 

Experience

  • Advising two large credit managers on implementation of the loan origination rules and liquidity management requirements of AIFMD II across their private credit fund range.
  • Advising Carne Global Fund Managers (UK) Ltd on the regulatory approval from the FCA for the launch of a private equity-focused Long Term Asset Fund (LTAF) in collaboration with WTW.
  • Advising Legal & General Asset Management (L&G) on the launch of its diversified private markets Long-Term Asset Fund (LTAF), the Legal & General Private Markets LTAF.
  • Advising Arcmont Asset Management, and its independent authorised corporate director, Carne Global Fund Managers (UK) Ltd, on the launch of an open-ended private debt focussed fund under the Long-Term Asset Fund (LTAF) regime.
  • Advising Muzinich on the establishment and operation of several European Long-Term Investment Funds (ELTIFs).
  • Advising a dedicated renewable infrastructure manager on its compliance with the SFDR and EU Taxonomy in respect of its Article 9 SFDR funds.
  • Advising Hayfin on its compliance with SFDR in respect of several Article 8 funds.
  • Advising Growth Capital Partners on the ESG aspects of their “one and done” fund, GCP Fund VI, at £411m.
