Our capital markets practice provides wide-ranging equity and debt capital markets capabilities. We operate a full-service practice used to handling transactions regardless of size and complexity.

  • initial public offerings on the Main Market and AIM;
  • secondary fundraisings, including placings, rights issues and open offers;
  • dual track processes and the re-domiciliation of corporate headquarters;
  • listed investment funds and real estate investment trusts (REITs);
  • capital markets transactions undertaken by UK plcs in overseas jurisdictions;
  • capital markets transactions alongside M&A deals;
  • bond issuances, including MTNs, high-yield bonds, convertibles and exchangeables;

Work highlights include advising:

  • Valterra Platinum, a South-African incorporated platinum group metals mining, production and marketing company, on its demerger from Anglo American plc and £7.5bn listing on the London Stock Exchange’s Main Market;
  • Ferrari Group PLC, one of the global leaders in the worldwide shipment of luxury goods, on the English law aspects of its €785m IPO on Euronext Amsterdam;
  • Main Market traded regional office specialist, Regional REIT Limited, on an underwritten open offer to raise £110.5m;
  • Supermarket Income REIT, a supermarket property investor, on its London IPO and a secondary listing on the Johannesburg Stock Exchange;
  • Yew Tree Overseas Limited, Lawrence Stroll’s personal holding vehicle, on its participation in a number of placings by Aston Martin Lagonda Global Holdings plc; and
  • the senior management team of Genius Sports Group, the leading provider of sports data and technology for betting operators, on its NYSE IPO by way of a business combination with dMY Technology Group, Inc. II.
