Our management advisory specialists work with executive management teams based in the UK, US, Europe, Middle East and many other jurisdictions around the world.
We support management through the full range of UK and cross-border M&A transactions involving private capital investors. This includes primary leveraged buyouts, secondary buyouts, sales to continuation vehicles, take privates and IPOs.
Our role is to provide expert and independent advice on the M&A process and on the design and implementation of incentive plans.
Our team includes specialists from our Private Capital, Tax, Reward, Employment and Private Client teams.
Together, we help our clients navigate complex, fast-moving negotiations. We design incentive plans that are tailored to each business and its people, explaining complex issues clearly and jargon-free, focusing on the points that matter most.
Work highlights include advising:
- the management team of Evelyn Partners Professional Services business on a management equity plan following its sale by Permira and Warburg Pincus to Apax Partners;
- the management team of Asda on the sale by Walmart to TDR Capital and the Issa brothers and subsequent sell down by the Issa brothers to TDR Capital;
- the management team of Arrow Global on a MIP following its take private by TDR Capital;
- the management team of Bourne Leisure on new MIP arrangements in connection with the acquisition by Blackstone;
- the management team of EQT Credit, the credit arm of private equity firm EQT, on its sale to Bridgepoint; and
- the management team of Hyve Group on a new management incentive plan following its take private by funds advised by Providence Equity Partners L.L.C. and Searchlight Capital Partners.
