Private Capital Transactions
Commercial legal advice on significant private capital transactions
We advise private capital sponsors, investors, lenders and management teams across the full range of private capital transactions - from mainstream buyouts to highly complex bespoke deals.
Our practice is broad and varied, providing us with perspectives and an understanding of the priorities and pressure points on all sides of any given transaction.
As well as the typical leveraged buyouts and auction sale processes that are the mainstays of the private capital transactional market, we also draw on our experience of minority growth investments, strategic third-party stake sales (both at portfolio and house level), dividend recaps, take-privates, joint ventures, IPOs, carve-outs, continuation funds, co-investments, and rollover investments on exit. Each of these presents its own unique challenges, but our experience on complex and esoteric transactions means we add significant value to any deal which deviates from the norm.
We are known for the strength and depth of our team, the close personal involvement of our partners in all our work, and our flexible and commercial approach. Clients value our ability to:
- execute transactions quickly, within challenging timeframes and highly competitive processes;
- work collaboratively with our market-leading specialists in tax, finance, employment, incentives, and regulatory; and
- provide market insight based on the breadth of our practice and our collection and analysis of data points across a large number of transactions, helping clients to position themselves competitively, anticipate trends and find their way through complex transactions.
