Work highlights include advising:
- Joshua Alliance and Falcon 24 TopCo Limited on the proposed take-private of N Brown Group plc, with an enterprise value of £408m to the company;
- the trustees of family trusts on the complete reorganisation of the trust structure, including the establishment of new trusts for different family branches and a private fund structure to enable trusts to access liquidity flexibly, while continuing to pool investments with other family branch trusts;
- Luxembourg-based family office, Sadel Group, on a £500m facility to refinance its cold storage business Magnavale;
- a consortium led by Lawrence Stroll on a strategic investment in FTSE250 luxury British sports car manufacturer Aston Martin Lagonda;
- Valderrama Limited, a JV company controlled by SPWOne V Limited, the investment business of Sir Peter Wood, on the proposed acquisition of Dignity plc;
- a family office on the creation of a new investment management group structure and a series of “in-house” investment fund structures through which its family members could invest efficiently;
- an international couple based in the UK with significant investments in multiple asset classes and sectors, ranging from extensive private shareholdings and crypto-assets. The advice focuses on the creation of long-term family wealth holding structures while balancing tax considerations in multiple jurisdictions and planning for potential changes of residence; and
- a senior private capital executive on the establishment of a family partnership vehicle designed to hold his co-investment interests so that the returns generated can be held for the long-term benefit of his young family.
