Hyve Group plc

Advising Hyve Group plc, a next-generation global events business, on a recommended takeover bid for it by funds advised by Providence Equity. The takeover values Hyve at approximately £320m and is expected to be implemented by way of a court-approved scheme of arrangement.

Tarsus Group

Advising Tarsus Group on a £560m recommended takeover by Charterhouse Capital Partners LLP.

NortonLifeLock Inc.

Advising NortonLifeLock Inc., a NASDAQ-listed provider of consumer Cyber Safety solutions, on its recommended cash and stock merger with FTSE 100 company Avast plc, a leading global cybersecurity provider, in a transaction attributing an enterprise value to Avast of up to $9.7bn

Jazz Pharmaceuticals

Advising Jazz Pharmaceuticals plc, a biopharmaceutical company based in Ireland, on its acquisition of GW Pharmaceuticals plc for a total consideration of $7.2bn.

James Hay Holdings

Advising James Hay Holdings, a portfolio company of Epiris, on its recommended offer for Nucleus Financial Group plc.

Alexion Pharmaceuticals

Advising Alexion Pharmaceuticals on the UK aspects of AstraZeneca plc’s acquisition of Alexion Pharmaceuticals for $39bn in cash and shares.

Epiris

Advising Epiris on its recommended offer of £206m for IFG Group Plc, a financial services company with full market listings in London and Dublin.

Siris

Advising Siris on its £673m recommended bid for Equiniti Group plc.

Panmure Gordon

Advising Panmure Gordon on the £1.1bn offer for TalkTalk by a new vehicle established at the direction of Tosca Fund Asset Management and Penta Capital.

Cevian Capital

Advising Cevian Capital on the sale of insurer RSA, in which it held c.14%, to Canada’s Intact Financial and Denmark’s Tryg for £7.2bn in cash.
