Macfarlanes advises Alcuin Capital Partners on GP-led secondary for Third Alcuin Fund

Macfarlanes has advised longstanding client, Alcuin Capital Partners, on a GP-led secondary involving a tender offer process for all third-party investor interests in the Third Alcuin Fund.

Macfarlanes has previously assisted Alcuin with the fundraising of its Fourth Alcuin Fund and Fifth Alcuin Fund.

The Macfarlanes team was led by private funds partner Harriet Miller, alongside senior counsel Henry Stewart-Brown and associate Jake Bedford. Tax expertise was provided by tax partner James McCredie and associate Christopher Cockerill and corporate expertise by M&A partner, Tom French.

Harriet Miller comments: “It was a pleasure helping Alcuin with this transaction to deliver an exit for Alcuin’s existing investors in the Third Alcuin Fund.  This transaction is a good example of how managers can deliver distributions to investors in well performing funds in a less liquid market for traditional M&A, alongside other technologies such as NAV facilities and continuation fund transactions”.
