About

Richard has a broad practice across all fields of company and corporate law, including capital markets transactions, public takeovers, private capital raising and private acquisitions.

With over 15 years of corporate law experience, Richard has acted for institutions and individuals in a variety of transactions across the corporate sphere. Much of Richard’s work has a cross-border element, and Richard spent nearly two years on secondment at a leading law firm in New York. 

With this broad background, Richard writes about many areas of corporate finance - with a particular focus on capital markets, shareholder activism and corporate governance.

Richard is a member of the Company Law Committee of The City of London Law Society, assisting the committee with its role in shaping developments across the corporate law arena.

Experience

  • Advising A.P. Moller Holding on its role as lead investor in digital bank Zopa’s latest equity funding round.
  • Advising long-standing client J.C. Flowers & Co. on the consortium arrangements with TowerBrook Capital Partners and Railsr shareholders relating to the all-cash offer by that consortium for Equals Group plc.
  • Advising Main Market traded regional office specialist Regional REIT Limited on an underwritten open offer to raise £110.5m.
  • Advising Siris Capital on the £673m recommended cash takeover offer for Equiniti Group plc, the leading international provider of mission-critical shareholder, pension, remediation, and credit technology-led services in the UK, along with Equiniti’s combination with AST, a leading provider of mission-critical shareholder technology and services in the U.S., in a simultaneous transaction which valued the combined businesses at a total enterprise value of £1.4bn.
  • Advising James Hay Holdings, a portfolio company of Epiris, on its recommended offer for Nucleus Financial Group plc.
  • Advising Ocado Group on its investment in British autonomous driving software company Oxbotica.
  • Advising the management of Moonpig Group plc on its £1.2bn Main Market IPO.
  • Advising JD Wetherspoon plc on its recent fundraisings of over £230m, and ongoing corporate governance advice.
  • Advising RateSetter in relation to its sale to Metro Bank plc.
  • Advising Siris Capital in relation to the acquisition of Travelport Limited, a leading travel technology company, for $4.4bn, and the subsequent disposal by Travelport of eNett.
  • Advising Epiris in relation to its recommended cash offer for IFG plc, the owners of the Saunderson House and James Hay financial services businesses.
  • Advising equity research house Redburn on the purchase of a significant minority stake by Rothschild & Co.
  • Advising Peel Hunt in relation to a new capital structure.
  • Advising Dana Incorporated in respect of the agreed $6bn acquisition of the Driveline business of GKN plc.
  • Advising Robey Warshaw, as financial advisor to Silver Lake, in relation to the £2.2bn acquisition of ZPG plc.
  • Advising Altria Inc., the largest shareholder in SABMiller (holding 27 per cent) on AB InBev’s £79bn offer for SABMiller and Altria’s investment in the new parent of the enlarged group.
  • Advising Improbable Worlds on the $502m investment made by SoftBank and associated shareholder arrangements.
  • Advising e2v technologies plc in connection with the £620m recommended cash offer by Teledyne Technologies Inc.
  • Advising Accor SA in relation to the acquisition of the digital luxury home rentals business, onefinestay.
  • Advising ThinkSmart Limited, the financial technology company, on its admission to AIM.
  • Advising M&G Investments on its $40m investment into UK technology company, Envisics - a pioneer and global leader in Augmented Reality Head-Up Displays (AR HUDs).
