Natasha Sellayah

Senior Associate

Natasha is a corporate lawyer with a focus on private M&A, private equity and secondaries, including co-investments and continuation funds.

She regularly advises private equity sponsors and corporate clients on the full lifecycle of a transaction – from early structuring and diligence through to closing. Much of her work involves complex, cross-border restructurings or equity arrangements.

Natasha is known for her problem-solving approach and attention to detail. Her work often involves translating high-level commercial terms into clear, workable legal structures. Clients value her ability to think creatively and propose technically sound solutions, especially on nuanced commercial arrangements.

She has a strong track record in delivering equity documents on private equity buyouts, where precision and attention to detail are key. She also has a particular interest in secondaries transactions and liquidity solutions.

Natasha trained at a major US law firm and joined Macfarlanes from another leading US practice. She has been seconded to a large European private equity firm, and to the firm’s private equity real estate team. These experiences have given her a broader commercial perspective and closer insight into client priorities.
