Darius is an associate in our financial services practice with experience advising some of the largest UK and overseas private equity sponsors and asset managers on financial services regulation.
His experience spans a range of complex questions of financial services regulation. Most recently, he has advised on a variety of UK regulatory perimeter questions, the FSMA change in control regime, management and marketing of funds under AIFMD, and the UK financial promotions regime.
Darius has significant experience advising on the regulatory considerations during a change in control and assisting with regulatory applications to the FCA and PRA. Darius’ experience and insight has made him a trusted advisor to various clients when navigating the financial services regulatory landscape.
Experience
- Advising long-standing client J.C. Flowers & Co. on the consortium arrangements with TowerBrook Capital Partners and Railsr shareholders relating to the all-cash offer by that consortium for Equals Group plc.
- Advising long-standing client Hayfin on its strategic partnerships with Mubadala Investment Company and AXA IM Prime.
- Advising Hayfin on its agreement with Arctos Partners, a private investment firm, to support a management buyout of the business, acquiring British Columbia Management Corporation’s majority stake.
- Advising Stonehage Fleming and Stanhope Capital on their combination with Corient, creating $430bn UHNW Wealth Management Family Office.
- Advising Union Bancaire Privée, a Swiss bank specialising in wealth and asset management, on the English law aspects of its acquisition of Societe Generale’s UK private banking and wealth management arm.
