Macfarlanes has advised RBS on an innovative structure and agreements with Hermes Investment Management, M&G Investments and AIG Asset Management to co-fund loans of up to £100m for medium-sized businesses.

Management to co-fund loans of up to £100m for medium-sized businesses.

These agreements enable, for the first time, mid-market companies owned by private equity sponsors to borrow up to £100m in a single transaction co-funded by all four lenders.

The agreement provides a single point of access for business customers borrowing through RBS.  Each transaction will be originated and co-ordinated by RBS, although the three fund managers will undertake their own credit analysis. This collaborative approach is intended to make a unique difference in this market place and to help UK companies expand and invest more in the British economy.

Macfarlanes advised on the structure of the platform and co-lending arrangements with the three lenders.  The team comprised investment management partner Alex Amos, finance partner Andrew Perkins and investment management solicitor Henry Stewart-Brown.
