Macfarlanes advises Tarsus Group on £560m recommended takeover by Charterhouse Capital Partners

Macfarlanes has advised Tarsus Group plc, the London-listed international business-to-business media group with interests in exhibitions, conferences, publishing and online media, on its recommended takeover by private equity firm Charterhouse Capital Partners LLP for a consideration of approximately £560m.

As part of the transaction, Tarsus Group's existing management team will stay in place and roll over part of their holdings into the Charterhouse Capital Partners acquisition structure. Completion is expected to take place in the third quarter of 2019, subject to shareholder approval and regulatory consent being obtained.

The Macfarlanes team was led by corporate and M&A partner Harry Coghill with assistance from corporate and M&A senior solicitor Max Mittasch. Share scheme expertise was provided by tax and reward senior counsel Rasmus Berglund.
