Macfarlanes advises Greenergy on merger with Canada’s BG Fuels

Macfarlanes has advised long-standing client Greenergy on its agreed combination with BG Fuels, a leading Canadian gasoline and convenience retailer.

The merger will combine Greenergy’s supply chain expertise and growing independent dealer offer with BG Fuels’ national retail brand management and site operation capabilities resulting in economies of scale and a greater flexibility for fuel supply and retail branding.

The Macfarlanes team for this matter was led by corporate and M&A partner Stephen Drewitt with assistance from corporate and M&A solicitor Kathryn Jarvis. Tax advice came from partner Peter Abbott and solicitor Florence Barnes with partner Richard Fletcher providing finance expertise.

Stephen Drewitt comments: “The combination signifies an exciting new chapter for Greenergy enabling significant future growth. We have previously advised Greenergy on a major investment and we are pleased to have been able to advise them on a different matter once again.”
