Macfarlanes advises Panmure Gordon on £1.1bn TalkTalk Takeover
Macfarlanes has advised Panmure Gordon on the £1.1bn offer for TalkTalk by a new vehicle established at the direction of Tosca Fund Asset Management and Penta Capital. Panmure Gordon is acting as financial adviser to the bidder.
The offer entitles TalkTalk shareholders to receive cash consideration in respect of their Talktalk shares, with a full unlisted share consideration alternative.
Corporate advice was provided by corporate and M&A partner Robert Boyle and senior counsel Mark Slade. Advice on the financing aspects came from partner Kirstie Hutchinson and senior solicitor Ryan Moore.
