Macfarlanes advises Epiris on sale of wealth management firm Saunderson House

Macfarlanes has advised private equity firm Epiris on the sale of wealth management company Saunderson House to Rathbone Brothers Plc for a total consideration of £150m.

The sale, which remains subject to regulatory consent, is expected to close in the third quarter of 2021 and would represent the second major realisation from Epiris Fund II following the sale of TI Media to Future plc in April 2020, on which Macfarlanes also advised.

Macfarlanes advised Epiris on its acquisition of Saunderson House as part of its 2019 take private of IFG Group, the parent company of Saunderson House and self-invested pensions provider James Hay, as well as the subsequent separation of IFG Group into its two component parts and on James Hay’s recent recommended cash offer for Nucleus Financial Group.

The Macfarlanes team for this matter was led by corporate and M&A partner Adam Campbell with assistance from senior solicitor Nicholas Page and solicitor Olivia MacLellan.
