Macfarlanes has advised private investment firm J.C. Flowers & Co and global credit specialist Bain Capital Credit on the purchase of an equity stake in The Co-operative Bank from BlueMountain Capital.

The acquisition, which is subject to regulatory approval, will see J.C. Flowers & Co and Bain Capital Credit becoming significant investors in the bank alongside its five other existing financial sponsor investors.

The Macfarlanes team for this matter was led by corporate and M&A partner Justin Hope with assistance from senior solicitor Eniga de Montfort and solicitor Michael Sweeney. Regulatory expertise was provided by financial services partner Andrew Henderson and solicitor Mark Lawrence.

Justin Hope comments: “We are very pleased to have assisted J.C. Flowers and Bain Capital Credit on this collaborative acquisition and look forward to seeing how their support will help realise The Co-Operative Bank’s plan for continued growth and value creation.”
