Macfarlanes advises management of Cognita on sale to Jacobs Holding

Macfarlanes has advised the senior management team, led by CEO Chris Jansen, of Cognita, the leading global schools group, on its sale by Bregal Investments and KKR to Jacobs Holding, a Zurich-based investment firm.

Cognita operates over 70 schools across eight countries, educating more than 40,000 children. The organisation was established in 2004 by Bregal Investments with the acquisition of a single school in the UK and since then has expanded into Europe, Asia and Latin America. KKR became a shareholder in 2013.

The transaction is set to complete in the fourth quarter of 2018, subject to regulatory approvals.

The Macfarlanes team was led by corporate and M&A partner Ian Martin and senior counsel, Adam Campbell. Other corporate and M&A team members included partner Luke Powell and solicitor Umraan Naeem. Tax advice was provided by tax partner Peter Abbott and solicitors Catherine Hill and Robert Clarke.

Bregal and KKR were represented by Freshfields and Jacob Holding was represented by Linklaters.
