Macfarlanes advises Exponent on acquisition of H&MV Engineering

Macfarlanes has advised long-standing private equity client Exponent on its acquisition of H&MV Engineering Limited, an Irish-headquartered business specialising in high voltage electrical engineering.

H&MV provides installation and maintenance work for high voltage infrastructure, servicing data centre, renewables and utility clients. Exponent will invest alongside H&MV’s existing management team with the aim of accelerating international growth and further developing the company’s design and delivery capabilities.

The transaction remains subject to Irish competition clearance and is expected to close in the next few months.

The Macfarlanes team was led by corporate and M&A partners Alex Edmondson and Stephen Pike with assistance from solicitors Jon Webb and Simon Russell. Finance advice was provided by partner Kirstie Hutchinson alongside senior solicitor Jack Bodkin with tax expertise coming from partner Ceinwen Rees and senior solicitor Catherine Hill. Partner Malcolm Walton and senior solicitor Andrew Morrison provided advice on the competition elements of the deal, with senior solicitor Madison Isted advising on insurance law.
