Macfarlanes advises KPS Capital Partners portfolio company on acquisition of Real Alloy’s European business

Macfarlanes has advised Speira, a portfolio company of KPS Capital Partners, the US private equity firm, on the English law aspects of its acquisition of the European business of Real Alloy.

Real Alloy Europe is a leading European recycler of aluminium and magnesium scrap and related by-products, with seven facilities and approximately 600 employees across Germany, Norway, France and the United Kingdom. Completion of the transaction is subject to customary closing conditions and approvals.

The Macfarlanes team was led by corporate and M&A partner Justin Hope with assistance from solicitor Brodie Thomson in the corporate and M&A team, supported by a cross-departmental team of specialists including partner Malcolm Walton and solicitors Rob Grant and Harrison Clark in relation to commercial matters, partner Hayley Robinson and senior solicitor Elena Cooper in relation to employment matters and partner Tom Pedder, consultant Nigel Price and solicitor Emily Chandler in relation to real estate matters.

Macfarlanes worked alongside US lead counsel, Paul, Weiss, Rifkind, Wharton & Garrison, as well as Noerr (Germany), Gide Loyrette Nouel (France) and Wiersholm (Norway) on the transaction.
