Macfarlanes advises Hyve on £320m takeover

Macfarlanes has advised next-generation global events business Hyve Group plc on a recommended takeover bid for it by funds advised by Providence Equity. The takeover values Hyve at approximately £320 million and is expected to be implemented by way of a court-approved scheme of arrangement.

The transaction was led by Macfarlanes corporate M&A partner Harry Coghill, with assistance from senior counsel Mark Slade and associate Ian Davis. Incentives advice was provided by tax and reward partner Rasmus Berglund and associate Tom Ingham, with anti-trust advice coming from competition partner Richard Pepper and associate Matthew Jones. Tax and reward partner Jeremy Moncrieff and associate Pranav Subhedar provided corporate tax advice.

The Macfarlanes team worked closely with Hyve’s general counsel, Helen Kennedy-Shamir, to deliver the transaction.
