Macfarlanes advises Charterhouse Capital Partners on its investment in Two Circles

Macfarlanes has advised Charterhouse Capital Partners (Charterhouse) on the tax and structuring of its investment in Two Circles, a leading international data-driven sports marketing company.

Charterhouse is one of Europe’s longest established private equity firms, focussing on investments into Western European mid-market companies with strong international prospects where there is an opportunity for transformational growth, both organically and through M&A.

Founded in 2011 and headquartered in the UK, Two Circles is an international data-driven sports marketing company partnering with more than 400 sports properties. Two Circles manages and analyses fan data on behalf of these clients, providing them with insight into fan behaviour which is then used to influence board-level decision-making and generate transformational commercial returns through a broad range of services.

The transaction marks the fourth platform deal Charterhouse has made in the UK through its Fund X and Fund XI, representing more than €800m of invested capital.

The Macfarlanes team was led by tax partner James McCredie and senior counsel Shaul Steinberg, with assistance from associates Sam Pettinger-Harte and Krishant Sen. Deep Shah and Andrew O’Riordan provided funds flow and share cap table modelling expertise.
