Macfarlanes advises Creative Artists Agency on CAA-GBG joint venture buyout

Macfarlanes has advised Creative Artists Agency, LLC (CAA), a leading global entertainment and sports agency, on its acquisition of the business of CAA-GBG, one of the world’s leading brand management agencies.

Prior to the transaction, CAA-GBG was operated through an English LLP joint venture formed in 2016 between CAA and Global Brands Group (GBG). The newly named CAA Brand Management division will immediately be integrated into the day-to-day operations of CAA, enabling CAA to continue to build and execute innovative, revenue generating brand extension programmes for many of the world’s most iconic brands.

The Macfarlanes team was led by corporate and M&A partner Tom Rose, with assistance from corporate solicitor Annie McElwain, and with restructuring and insolvency advice provided by partners Jat Bains and Paul Keddie. The team also included tax partner Jeremy Moncrieff and solicitor Hugo Coleman, employment partner Hayley Robinson and solicitor Dan Esam, competition partner Richard Pepper and commercial senior solicitor Rosie Duckworth and solicitor Harrison Clark.

Macfarlanes worked closely with CAA’s other legal advisers on the transaction, including Wachtell, Lipton, Rosen & Katz, who acted as US counsel to CAA, and White & Case LLP, who acted as local jurisdiction counsel in various non-US/UK countries.
