Macfarlanes advises Littelfuse on $540m acquisition of C&K Switches from Sun Capital Partners

Macfarlanes is advising Littelfuse, Inc. (NASDAQ: LFUS), an industrial technology manufacturing company, on its proposed all-cash acquisition of C&K Switches from an affiliate of global private equity firm Sun Capital Partners, Inc. for an enterprise value of $540m.

Founded in 1928, C&K Switches is a leading designer and manufacturer of high-performance electromechanical switches and interconnect solutions, with a strong global presence across a broad range of end markets, including industrial, transportation, aerospace and datacom. The transaction is subject to customary closing conditions and regulatory approvals, and is expected to close in the second calendar quarter of 2022.

The Macfarlanes team was led by corporate and M&A partners Tom Rose and Adam Campbell, with assistance from corporate solicitor Henry Cooksey. Competition advice was provided by partner Richard Pepper and associate Louis Delvaux, with tax expertise coming from partner Jeremy Moncrieff, senior VAT manager Charishma Bhujohory and solicitor George Apps. The team also included insurance senior solicitor Madison Isted and commercial senior solicitor Rosie Duckworth.

Macfarlanes is working closely with Littelfuse’s other legal advisers on the transaction, including Wachtell, Lipton, Rosen & Katz, who are acting as US counsel to Littelfuse.
