Macfarlanes advises Binderholz on acquisition of BSW Group from Endless LLP

Alongside Binderholz’s usual M&A counsel, Flick Gocke Schaumburg (Fred Wendt), Macfarlanes has advised the Austrian-headquartered timber and sawmilling company on its acquisition of BSW Group, the UK’s largest integrated forestry and sawmilling business from private equity firm Endless LLP.

BSW was founded in 1848 and is headquartered in Earlston, Scotland. The business comprises five main operating divisions: tree nurseries, forestry management, tree harvesting, sawmilling, and energy.

This acquisition brings Binderholz’s recent international expansion activities to the UK for the first time and follows its purchase of two American sawmills in 2020.

The Macfarlanes team was led by corporate and M&A partner Peter Baldwin, alongside senior solicitor Daniel Hobbs and solicitors Laura Hatfield and Tanya Mokha.

The team also included employment partner Hayley Robinson, senior solicitor Chris Boyle, solicitor Constance Shaw and real estate partner Tom Pedder, senior counsel Margaret Rhodes, senior solicitor Kirsty Childs, consultant Nigel Price and commercial partner Malcolm Walton, senior solicitor Rosie Duckworth, solicitor Henry Beattie, competition solicitor Tilly Henderson and finance partner Kirstie Hutchinson, solicitor Ranvir Singh, pensions partner Camilla Barry, senior counsel Sheamal Samarasekera, tax partner Gregory Price, tax adviser Lawrence Parkin, insurance senior solicitor Madison Isted and solicitor Alexander Cibulskis

Peter Baldwin comments: “We are delighted, through our friends at Flick Gocke Schaumburg, to have had the opportunity to advise Binderholz on this important acquisition. We look forward to seeing the combination of both companies flourish and thrive.”
